In this Deep-Dive session, we’ll unpack venture term sheets from the ground up, focusing specifically on pre-seed and seed stage fundraising where many angels first encounter these documents.

Term sheets sit at the heart of venture investing. They define the structure of the deal, shape incentives between founders and investors, and set the foundation for the legal agreements that follow. Yet many angels encounter them without fully understanding the mechanisms behind the terms or the implications they carry for founders and future rounds.

In this session, we’ll start with the fundamentals: what a term sheet is, where it sits in the investment process, and how it connects to the broader funding cycle. From there, we’ll examine the key clauses typically seen in early-stage rounds and discuss how to interpret them beyond the legal wording.
