

Nonprofit organizations operate within a complex legal landscape, where governance decisions carry real implications for accountability, risk, and long-term impact. This session introduces key legal frameworks that shape how nonprofits are structured, governed, and protected, helping participants better understand the responsibilities that come with working alongside mission-driven organizations.Led by UCLA Anderson’s Professor Jane Guerin, this session will cover fiduciary duties of board members and leadership, overview of 501(c) structures and their implications and liability considerations and nonprofit insurance. Professor Guerin brings decades of real-world legal experience to the classroom. A longtime UCLA Anderson faculty member, she developed and teaches the school’s nonprofit law and management curriculum and maintains an active law practice specializing in nonprofit organizations.This workshop is part of the 2026 Golub Capital UCLA Anderson Board Fellows Program workshop series and is open to Board Fellows and partner nonprofits across the Golub Capital Board Fellows Network.
